1. Overview

Madison Square Publishers provides professional book production and publishing support services, which may include editing, proofreading, manuscript preparation, formatting, cover and interior design coordination, publishing assistance, marketing support, and audiobook production support, as outlined in the applicable written scope or invoice.

2. Services, Proposals, and Scope of Work

2.1 Written Scope Required

All services are provided according to a written proposal, scope of work, order confirmation, or invoice that identifies the agreed deliverables, pricing, timelines, and applicable revision terms.

2.2 Client Responsibilities

Clients are responsible for providing accurate information, required materials, timely feedback, and necessary approvals. Materials may include manuscript content, images, branding assets, author biographies, and publication preferences. Delays in providing required information or approvals may affect the project timeline.

2.3 Third-Party Platforms

Some services or deliverables may rely on third-party platforms, tools, retailers, printing providers, or distribution services, including Amazon KDP, IngramSpark, Audible/ACX, and other publishing partners. Madison Square Publishers is not responsible for third-party downtime, policy changes, account decisions, approval processes, platform restrictions, or service interruptions.

3. Payments and Billing

3.1 Payment Method

Payments may be processed through our company PayPal Business account or another payment method identified on the applicable invoice.

3.2 Start of Work

Services generally begin after written approval and required payment have been received, unless another arrangement has been confirmed in writing.

3.3 Milestones

Projects may be completed through multiple milestones when appropriate. Any milestone requirements, payment terms, and delivery conditions will be outlined in the applicable written scope or invoice.

4. Revisions and Acceptance

4.1 Revisions

The number of revisions, revision periods, included changes, and applicable requirements are established in the written scope or invoice. Requests outside the agreed scope may require a change order and additional fees.

4.2 Acceptance

Deliverables may be considered accepted when the client confirms approval in writing, uses the delivered materials publicly, or does not raise written concerns within a reasonable review period following delivery.

5. Intellectual Property

5.1 Client Materials

You confirm that you own or have obtained the necessary rights and permissions to use any materials provided to us, including manuscripts, images, cover assets, trademarks, names, likeness rights, and other content.

5.2 Ownership Transfer

Unless otherwise stated in writing, upon full payment of the agreed services, you receive rights to the final deliverables created and provided under the applicable scope.

5.3 Pre-Existing Materials

Any pre-existing templates, tools, workflows, code, design systems, processes, or methods used to create deliverables remain the property of their respective owners unless otherwise agreed in writing.

6. No Guarantees

Madison Square Publishers does not guarantee specific publishing or commercial outcomes, including publishing approvals, retailer approvals, bestseller status, reviews, rankings, sales volume, platform visibility, distribution coverage, advertising performance, or business results. Outcomes may depend on third-party platform requirements, market conditions, audience response, and other factors outside our control.

7. Communications (Email and SMS Where Applicable)

We may communicate with current and prospective clients through email, telephone, and SMS where applicable.

If you choose to receive SMS communications from us:

We are not affiliated with mobile carriers. Message delivery may depend on carrier and network availability.

Eligibility for Refunds

Refunds may be considered when deliverables included in a purchased package have not been provided within the agreed timeframe. Each request is reviewed individually, and Madison Square Publishers may determine whether a full refund, partial refund, alternative resolution, or another appropriate outcome applies.

Non-Refundable Services

Certain digital services may become non-refundable once the agreed work has been completed and accepted by the client. However, refund requests may still be reviewed individually to provide fair consideration of the circumstances.

Request Timeframe

To be considered for refund or dispute resolution, a request must generally be submitted within 120 calendar days following delivery of the applicable services.

Processing Time

After receiving your request, we will review the matter and respond within 5–7 business days. Approved refunds are generally processed within 15–30 business days, depending on your payment method and financial institution.

To the fullest extent permitted by applicable law, Madison Square Publishers will not be responsible for indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, business opportunities, or other losses resulting from or related to the use of our website or services.

12. Termination

We may suspend or terminate services if a client violates these Terms, fails to make required payments, requests prohibited services, or participates in unlawful activity. If services are terminated, the client remains responsible for fees associated with completed work and expenses incurred before the termination date.

13. Modifications

We may revise or update these Terms periodically. Any changes become effective once posted on our website. Continued use of the website or services after updated Terms are posted indicates acceptance of the revised Terms.

14. Governing Law

Unless otherwise provided in a separate written agreement, these Terms are governed by the laws applicable to the registered business entity of Madison Square Publishers.
